公司章程修訂(預告)
第一章 宗旨與使命
第1條【公司宗旨】
本公司以「文化保存 × 青年賦能 × 永續環境」為核心宗旨,致力於推動社會與環境之永續發展。
公司採取社會企業模式營運,透過文化桌遊設計、竹材再利用文創商品開發、教育推廣與社區合作,
實踐「以人與地球優先」之企業價值。
第2條【社會與環境目的】
公司之營運目的除追求合理利潤外,並以下列社會與環境影響為主要目標:
一、促進原住民族文化傳承與公共教育。
二、培力青年與弱勢族群就業能力,創造在地工作機會。
三、推動循環經濟與環保生產,減少廢棄資源浪費。
四、透過桌遊、設計與教育計畫促進社會參與與文化多樣性。
第二章 營運與決策原則
第3條【永續經營原則】
公司在營運決策中,應兼顧社會、環境與經濟三重效益(Triple Bottom Line),
並以「宗旨優先、利潤其次」為營運方針。
第4條【公平與倫理生產】
公司應優先採用在地、環保、可再生或循環材料,並保障合作夥伴與員工之合理待遇。
與原住民族、在地工藝者及青年合作時,應尊重文化智慧與公平交易原則。
第5條【公開透明】
公司應每年至少一次公開社會與環境影響報告,說明永續實踐成果、教育推廣與再投資狀況。
報告得於公司官網或其他公共媒介公開發布。
第三章 收益與盈餘運用
第6條【自給自足與永續收益】
公司主要營收應以產品與服務所得為基礎,避免依賴捐贈或補助。
並得以成果導向型計畫或政府合作案作為部分收益來源,以確保財務自立與永續經營。
第7條【盈餘分配原則】
公司年度盈餘應以促進宗旨為優先用途,
至少 50% 以上盈餘 應再投入於下列任一或多項用途:
一、文化桌遊及文創產品開發。
二、原住民族及青年教育培力課程。
三、永續設備與生產技術升級。
四、社區及環境改善相關計畫。
第8條【再投資紀錄】
公司應保留盈餘再投資之財務紀錄與影響成果文件,
並納入年度永續報告中公開揭露。
第四章 治理結構與宗旨鎖定
第9條【宗旨鎖定條款(Mission Lock)】
公司之宗旨、社會及環境目的為本公司存在之核心,不得任意更改或刪除。
任何涉及公司宗旨修改或營運方向變更之提案,
須經全體股東表決通過三分之二以上方得為之,並應載明具體社會影響評估。
第10條【股權與融資限制】
公司之股權結構應維持宗旨導向之控制權比例,
不得引進損及公司社會或環境目的之外部投資人。
融資活動應優先選擇具社會責任或永續導向之資金來源。
第11條【治理參與機制】
公司得設立「社會影響顧問委員會」或「永續顧問群」,
由具社會企業、原住民族文化及永續專業背景之人士組成,
提供公司營運方向與社會影響之諮詢與監督建議。
第五章 附則
第12條【條文修訂】
本章程修訂時,應符合社會企業與人與地球優先(People & Planet First)之精神,
並確保修訂後條文不削弱既有社會及環境使命。
第13條【生效條款】
本章程自股東會通過之日起施行,並報主管機關備查。

Draft Amendments to the Articles of Incorporation
(Aligned with the People & Planet First Principles)
Chapter I – Purpose and Mission
Article 1 – Company Purpose
FUN DOG Creative Co., Ltd. exists to create positive social and environmental impact through its core principles of Cultural Preservation, Youth Empowerment, and Environmental Sustainability.
The Company operates under a social-enterprise model, integrating culture, design, and education to address social challenges and promote sustainable development.
Article 2 – Social and Environmental Objectives
Beyond pursuing reasonable profit, the Company is committed to:

Preserving and promoting indigenous and local cultural heritage through creative products and public education.

Empowering youth and under-represented groups by providing training and local employment opportunities.

Advancing circular-economy practices and reducing waste through sustainable design and production.

Encouraging social participation and cultural diversity through board games, design projects, and educational programs.
Chapter II – Operational Principles
Article 3 – Sustainability and Triple Bottom Line
All business decisions shall balance social, environmental, and economic outcomes, giving priority to the Company’s purpose over profit when conflicts arise.
Article 4 – Ethical and Fair Production
The Company shall prioritize the use of local, renewable, or recycled materials; ensure fair labor conditions; and respect indigenous knowledge and cultural rights in all partnerships.
Article 5 – Transparency and Reporting
The Company shall publish, at least annually, a Social and Environmental Impact Report summarizing performance in sustainability, education, and reinvestment.
This report shall be made publicly available on the Company’s website or other appropriate media.
Chapter III – Revenue and Surplus Allocation
Article 6 – Self-Sustaining Revenue Model
The Company’s primary income shall be derived from the sale of products and services, including but not limited to cultural board games, creative workshops, design commissions, and results-based public projects, to maintain financial independence and long-term sustainability.
Article 7 – Use of Surplus
No less than 50 percent (50%) of any annual surplus shall be reinvested to advance the Company’s mission, including but not limited to:

Developing new cultural and educational products;

Providing free or subsidized training for indigenous and disadvantaged youth;

Improving sustainable production equipment and technologies;

Supporting community and environmental projects.
Article 8 – Reinvestment Records
The Company shall maintain clear records of surplus reinvestment and disclose them in its annual impact report.
Chapter IV – Governance and Mission Lock
Article 9 – Mission Lock
The Company’s social and environmental purpose constitutes the foundation of its existence and shall not be deleted or altered without the approval of at least two-thirds (2/3) of all shareholders, accompanied by a documented assessment of the potential social and environmental impact of such change.
Article 10 – Ownership and Financing Safeguards
The Company’s ownership and financing structure shall ensure that control remains aligned with its mission.
External investors or funding sources shall not compromise or override the Company’s social and environmental objectives.
When seeking investment, the Company shall prioritize mission-aligned and responsible capital.
Article 11 – Advisory and Oversight Mechanism
The Company may establish a Social and Sustainability Advisory Committee, composed of professionals with expertise in social enterprise, indigenous culture, and sustainability, to advise and review the Company’s impact and strategic direction.
Chapter V – Supplementary Provisions
Article 12 – Amendment Principle
Any future amendment to these Articles must uphold the spirit of social enterprise and the People & Planet First principles, and may not weaken the Company’s commitment to its social and environmental mission.
Article 13 – Effective Date
These amendments shall take effect upon approval by the shareholders’ meeting and filing with the relevant competent authorities.
